WHEREAS Bidco intends to make an offer to acquire the entire issued and to be issued ordinary share capital of APR Energy plc ("APR Energy"): (i) at a cash price per APR Energy Share of 175 pence, and (ii) substantially on the terms and subject to the conditions of the draft Offer Announcement together with such additional terms and conditions as may be required to comply with the Applicable Requirements.
