This letter agreement (“Agreement”) confirms the understanding between Agile Sports Technologies, Inc. dba Hudl, 151 N. 8th Street Suite 200, Lincoln, NE, 68508 (“Hudl”) and Delaware-Chenango-Madison-Otsego BOCES, 6678 County Road 32, Norwich, NY 13815(“BOCES”) in connection with the purchase of sports video software for teams and athletes (“Hudl Software”) designed for use by K-12 athletic departments (“Schools”) in the Delaware-Chenango-Madison-Otsego Boces School District (“Territory”). In consideration of good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree to the terms set forth herein.
