THIS AGREEMENT (hereinafter, the "Agreement") is entered into this 17th day of March, 2015 (the “Effective Date”) by and between the International City/County Management Association (hereinafter referred to as "ICMA"), a nonprofit corporation organized and existing under the laws of the State of Illinois having its principal place of business at 777 North Capitol Street, N.E., Washington, DC 20002-4201, and Emerald Data Solutions, Inc., (hereinafter referred to as “Emerald”), a for-profit corporation organized under the laws of the State of Georgia having its principal place of business at 519 Johnson Ferry Road NE, Suite A199, Marietta, GA 30068 (ICMA and Emerald are, together, the "Parties" and, individually, a "Party'').
