This Sixth Amended and Restated Credit Agreement (“Agreement”) is made as of the 11th day of December, 2006, by and among the financial institutions from time to time signatory hereto (individually a “Lender,” and any and all such financial institutions collectively the “Lenders”), Comerica Bank, as Bookrunner, Co-Lead Arranger and Administrative Agent for the Lenders (in such capacity, “Agent”), National City Bank, as Co-Lead Arranger, Joint Bookrunner and Co-Syndication Agent, JPMorgan Chase Bank, N.A., as Co-Syndication Agent, BMO Capital Markets Financing, Inc., as Documentation Agent and Noble International, Ltd., a Delaware corporation (“Noble” or “Borrower”).
