PI Financial Corp. (the “Lead Agent”), and Canaccord Genuity Corp. and Haywood Securities Inc. (collectively with the Lead Agent, the “Agents” and each individually an “Agent”) understands that Plus Products Inc. (the “Company”), a company incorporated in and existing under the laws of British Columbia, proposes to issue and sell up to 6,153,847 subordinate voting shares of the Company (the “Offered Shares”) at a price of $3.25 per Share (the “Offering Price”) for aggregate gross proceeds of up to $20,000,002.75. The offering of the Offered Shares by the Company pursuant to this offering is referred to in this Agreement as the “Offering”.
