The Securities will be issued pursuant to the Indenture, dated as of September 13, 2023 (the “Base Indenture”), between the Company and U.S. Bank Trust Company, National Association, as trustee (the “Trustee”), as amended by a Second Supplemental Indenture to be dated as of September 9, 2024 (the “Second Supplemental Indenture” and, together with the Base Indenture, the “Indenture”).
