THIS INDENTURE, made and entered into as of 1, 2023, by and between the CALIFORNIA HOUSING FINANCE AGENCY (together with its successors and assigns, the “Agency”), a public instrumentality and political subdivision of the State of California (the “State”) created by the Zenovich-Moscone-Chacon Housing and Home Finance Act, consisting of Parts 1 through 4 of Division 31 of the California Health and Safety Code (the “Act”), and U.S. BANK TRUST COMPANY, NATIONAL ASSOCIATION, a national banking association duly organized and existing under the laws of the United States of America, having a corporate trust office in San Francisco, California, and being qualified to accept and administer the trusts hereby created, as trustee (together with any successor trustee hereunder and their respective successors and assigns, the “Trustee”);
