This SETTLEMENT AGREEMENT (this “Agreement”) is made and entered into this 14th day of April, 2014 by and among (i) Ashley Stewart Holdings, Inc., a Delaware corporation, New Ashley Stewart, Inc., a Delaware corporation, AS IP Holdings, Inc., a Delaware corporation, and NAS Gift LLC, a Virginia limited liability company, and each of their respective bankruptcy estates (collectively, the “Debtors”); (ii) the Official Committee of Unsecured Creditors appointed in the Debtors’ pending Chapter 11 Cases (as defined below) (the “Committee” and together with the Debtors, the “Estate Parties”); (iii) the DIP Secured Parties (as defined below); (iv) the Prepetition Secured Parties (as defined below), and (v) the GBG Parties (as defined below) (the Estate Parties, the DIP Secured Parties, the Prepetition Secured Parties, the GBG Parties, each a “Party”; collectively, the “Parties”).
