THIS ASSET PURCHASE AND SALE AGREEMENT (“Agreement”) is made and entered into this day of February, 2014, by and between Bowery Opportunity Fund, L.P., a Delaware limited partnership (“Purchaser”), and BETSEY JOHNSON LLC (including any trustee, liquidating trustee or other fiduciary, the “Debtor” or “Seller”), a Delaware limited liability company. Purchaser and Seller are sometimes collectively referred to in this Agreement as “Parties” or individually as “Party.”
