This Stock Purchase Agreement (this “Agreement”) is entered into as of February 7, 2011 by and among Bullion Monarch Mining, Inc., a Utah corporation (“Buyer”), and the shareholders of Dourave Mining and Exploration Inc., a corporation organized and existing under the laws of Canada (“Dourave”) identified on the signature page hereto (collectively, the “Sellers”).
