FUND PARTICIPATION AGREEMENT THIS AGREEMENT made as of the 8th day of August, 1997, by and between the PBHG INSURANCE SERIES FUND, INC. ("FUND"), a Maryland corporation, PILGRIM BAXTER & ASSOCIATES, LTD. ("ADVISER"), a Delaware corporation, and FIDELITY INVESTMENTS LIFE INSURANCE COMPANY ("LIFE COMPANY"), a life insurance company organized under the laws of the State of Utah.
