This Purchase and Sale Agreement and Joint Escrow Instructions (“Agreement”) is entered into as of January 19, 2022 (the “Effective Date”) by and between the City of North Las Vegas Redevelopment Agency, a public body, corporate and politic, organized under the laws of the State of Nevada (“Seller”), and KL QOZB II, LLC, a Delaware limited-liability company (“Purchaser”). Seller and Purchaser may be referred to individually as a “Party” and collectively as “Parties.”
