THIS MEMORANDUM OF KEY TERMS (hereinafter referred to as the “Memorandum”) is made between the CITY OF WAUKEGAN, an Illinois home rule municipality (“City”) and FHR-ILLINOIS LLC a Delaware limited liability company (“Developer”) (each, a “Party” and collectively, the “Parties”). This Memorandum is intended to memorialize preliminary terms of agreement between the Parties and to serve as a framework for the finalization and execution of subsequent binding instruments. This Memorandum is non-binding and no rights, title, interest, or claims may be construed or interpreted to arise from its terms.
