WHEREAS, the Company desires to establish a trading plan (subject to the terms and provisions of this Agreement, the “Plan”) that qualifies for the safe harbors provided by Rule 10b-18 (“Rule 10b-18”) and Rule 10b5-1 (“Rule 10b5-1”) each under the Securities Exchange Act of 1934, as amended (the “Exchange Act”); and WHEREAS, the Company wishes to engage Broker as its exclusive agent to make purchases shares of the common stock, par value $0.01, of the Company (the “Securities”) on its behalf under the Plan; NOW, THEREFORE, the parties agree as follows:
