The undersigned, Eight Capital and Haywood Securities Inc. (“Haywood” and, together with Eight Capital, the “Co-Lead Agents”) and Paradigm Capital Inc. and Scotia Capital Inc. (together with the Co- Lead Agents, the “Agents”), understands that LEAF Mobile Inc. (the “Corporation”) has entered into a share purchase agreement dated October 31, 2020 and amended November 26, 2020 (the “Acquisition Agreement”) with EastSide Games Inc. (“ESG”) and certain securityholders of ESG in respect of a proposed acquisition transaction whereby the Corporation will acquire all of the issued and outstanding securities of ESG (the Acquisition”).
