This EXISTING EQUITY WARRANT AGREEMENT (this “Agreement”) is dated as of July 31, 2017, between Tidewater Inc., a Delaware corporation, as issuer (the “Company”), and Computershare Inc., a Delaware corporation (“Computershare”) and its wholly owned subsidiary Computershare Trust Company, N.A., a federally chartered trust company (together with Computershare, the “Warrant Agent”).
