This Real Estate Purchase and Sale Agreement (“Agreement”) is entered into as of the Effective Date (defined below) between VILLAGE OF WESTMONT, an Illinois municipal corporation (“Buyer”) and BNSF RAILWAY COMPANY ("Seller"). This Agreement shall not be binding upon either party unless and until both parties have executed and delivered this Agreement. The submission of this document by Seller to Buyer shall not constitute an offer to sell by Seller.
