This confirmation agreement (“Confirmation”) confirms the Transaction between [Seller name] (“Seller”) and City of San José, a California municipal corporation (“Purchaser”), each individually a “Party” and together the “Parties,” dated as of the last dated signature on the signature page hereto (“Effective Date”) regarding the purchase and sale of the Product. This Transaction is governed by the terms and conditions of the WSPP Agreement effective as of September 11, 2023, along with any schedules and amendments thereto (collectively, the “Master Agreement”). The Master Agreement and this Confirmation shall be collectively referred to herein as the “Agreement”. Terms capitalized but not defined herein shall have the meaning as set forth in the Master Agreement.
