This Stipulation and Agreement of Settlement, dated as of March 20, 2024 (the “Stipulation”) is entered into between Court-appointed lead plaintiff Turton Inc. (“Lead Plaintiff”), on behalf of itself and the Settlement Class (defined below) and defendants Joseph Furnari and Robert Scott Brogi (collectively, “Individual Defendants” and together with Lead Plaintiff, the “Parties”).
