This EMPLOYMENT AGREEMENT (“Agreement”), dated as of November 8, 2011, as revised, is made by and among LY RETAIL LLC, a limited liability company organized under the laws of California (the “Company”), TOP GEAR INC., a corporation organized under the laws of Delaware and parent of the Company (the “Parent”) and Steve Beauregard (the “Executive”).
