The undersigned, Siebert Brandford Shank & Co., L.L.C. (the “Representative”), on our own behalf and on behalf of RBC Capital Markets, LLC (together with the Representative, the “Underwriters”), offers to enter into this Bond Purchase Agreement (the “Purchase Agreement”) with the Harbor Department of the City of Los Angeles (the “Department”) which, upon the Department’s acceptance of this offer, will be binding upon the Department and the Underwriters. The offer made hereby is subject to acceptance by the Department by execution and delivery of this Purchase Agreement to the Representative at or prior to 5:00 P.M., Los Angeles time, on the date first above written, and if not so accepted will be subject to withdrawal by the Underwriters upon notice delivered to the Department at any time prior to the acceptance hereof by the Department.
