First Amendment, dated as of August 27, 2020 (this “Amendment”) to Asset Purchase Agreement (the “Purchase Agreement”), dated as of August 12, 2020, entered into by and between Deconic Group LLC, a Delaware limited liability company (“Seller”), and AB-IP Holdco LLC, a Delaware limited liability company (“Buyer”). Except as otherwise expressly defined herein, all capitalized terms used herein shall have the meanings ascribed to them in the Purchase Agreement.
