(“Agreement”) is made and entered into this 17th day of October, 2023, by and among: (i) Shoreham Solar Commons LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Shoreham”), Riverhead Solar Farm, LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Riverhead”), East Hampton Energy Storage Center, LLC, a limited liability company organized and existing under the laws of the State of Delaware (“East Hampton”), and Montauk Energy Storage Center, LLC, a limited liability company organized and existing under the laws of the State of Delaware (“Montauk”) (each individually a “Developer” and collectively the “Developers”); (ii) Long Island Lighting Company d/b/a LIPA (“LIPA”), a subsidiary of the Long Island Power Authority
