This CREDIT AGREEMENT, dated as of December 2, 2014 (this “Agreement”), among TUCSON ELECTRIC POWER COMPANY, an Arizona corporation, the lenders listed on the signature pages hereto as “Lenders” (the “Lenders”), the other LENDERS from time to time party hereto, U.S. BANK NATIONAL ASSOCIATION, WELLS FARGO BANK, NATIONAL ASSOCIATION and THE BANK OF NOVA SCOTIA, as Co-Documentation Agents, and MUFG UNION BANK, N.A., as Administrative Agent.
