BOSTON FINANCIAL & EQUITY CORPORATION ("BF&EC") is pleased to make the following Second Lease Line Agreement ("Agreement") with VitalStream Holdings, Inc., VitalStream, Inc., and VitalStream Broadcasting Corporation, collectively ("VitalStream"), to provide equipment leasing to VitalStream in the amount hereinafter specified and for the period ("Availability Period") and on the terms and conditions hereinafter specified:

This is Amendment No. 1 (this "Amendment") to that certain Revolving Equipment Lease ("Lease"), effective August 1, 2001, by and between PLEXUS DATA INC. ("Lessor") and VITALSTREAM, INC. ("Lessee"). The effective date of this Amendment ("Effective Date") shall be the date upon which Lessee executes this Amendment.

This Bandwidth Redundancy and Cooperative Purchasing Agreement ("Agreement") is entered into as of December 23, 2003 by and between VitalStream, Inc. ("VitalStream") and InteleNet Communications, Inc. ("InteleNet")(individually, a "Party", and collectively, the "Parties").
