THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is made as of the 31st day of March 2019, by and between Managed Portfolio Series, a Delaware statutory trust (the “Trust”), on behalf of the series of the Trust listed on Appendix A, which may be amended from time to time (each a “Fund” and together the “Funds”), and Tortoise Capital Advisors, L.L.C., a Delaware Limited Liability Company (the “Adviser”).

This AGREEMENT is made as of the ___ day of __________, 2019, by and between Tortoise Capital Advisors, L.L.C., a Delaware limited liability company (the “Adviser”), Tortoise Advisors UK Limited, a company incorporated in England and Wales (the “Sub-Adviser”), and Managed Portfolio Series, a Delaware statutory trust (the “Trust”) on behalf of the Tortoise Energy Evolution Fund, a series of the Trust (the “Fund”).
