This ASSET PURCHASE AGREEMENT (the "Agreement") dated this 3rd of December, 1999 is made and entered into by and between TSC SERVICES, INC., a Texas Corporation and/or assigns, (the "PURCHASER"), and EVANS SYSTEMS, INC. (hereinafter "PARENT"), DIAMOND MINI MART, INC., EVANS OIL CO., EDCO, INC. and WAY ENERGY SYSTEMS INC., (collectively, the "SELLERS"), as their interests appear.
