This settlement and release agreement (“Agreement”) is entered into by and between SunEdison, Inc., (formerly MEMC Electronic Materials, Inc., “SunEdison”), and Wacker Chemie AG (“Wacker”) (collectively, Wacker and SunEdison shall be referred to in this Agreement as the “Parties” and individually as a “Party”).
