We refer to the proposed offer by AstraZeneca UK Limited (“AstraZeneca”) or a member of its Group to acquire all of the share capital of Cambridge Antibody Technology Group plc (the “Company”) (such offer, including such offer as revised or extended, being the “Offer”). The purpose of this letter is to record the agreement between AstraZeneca and the Company in respect of certain aspects of the Offer.
