MEMORANDUM OF AGREEMENT dated as of April 21, 2010 between Encana Corporation (the “Corporation”), a corporation incorporated under the Canada Business Corporations Act, and CIBC Mellon Trust Company, a trust company incorporated under the laws of Canada (the “Rights Agent”) which amends and restates the agreement dated as of July 30, 2001 and as previously amended and restated as of September 13, 2001 and April 28, 2004 respectively, between such parties;
