THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is effective as of the 1st day of October 2008, between UTi, Services, Inc., a California corporation (the “Company”), and William T. Gates (“Executive”). This Agreement amends and restates in all respects the Employment Agreement dated as of February 21, 2006, between the Company and Executive (the “Prior Agreement”).

Reference is made to the amended and restated employment agreement between you and UTi, Services, Inc.
