The purpose of this letter agreement (this “Agreement”) is to confirm the terms of your transition and separation from HubSpot, Inc. (“HubSpot” or the “Company”) (collectively, the “Parties”). The benefits described in Section 1 of this Agreement (the “Consideration”) are provided to assist you with your transition from the Company and are in exchange for the obligations you are accepting, which are described in this Agreement. HubSpot’s obligations under this Agreement are contingent on (1) your timely signing and not revoking this Agreement; (2) your timely signing and not revoking the Affirmation of Release of Claims attached as Exhibit A, in the timeframe described on Exhibit A, and as described in Section 5 below; and (3) your compliance with the terms and conditions of this Agreement.
