THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of the Thirtieth day of September, 2010, by and between Voice Assist Inc., a Nevada public company having its principal place of business at 2 South Point Drive, Suite 100, Lake Forest, CA 92630 (the “Employer”), and Michael D. Metcalf, an individual currently residing in the City of Mission Viejo, CA (the “Employee”). As used herein, the term “Parties” shall be used to refer to the Employer and Employee jointly.
