SHAREHOLDER AGREEMENT (the “Agreement”), dated as of December 8, 2004, by and between _______________________________, a shareholder (“Shareholder”) of Northeast Pennsylvania Financial Corp. (the “Company”), a Delaware corporation, and KNBT Bancorp, Inc. (“Parent”), a Pennsylvania corporation.
