On May , 2006, (“Executive”) and SYMMETRICOM, INC. (the “Company”) entered into an EXECUTIVE SEVERANCE BENEFITS AGREEMENT (the “Prior Agreement”), which was intended to provide Executive with certain compensation and benefits upon the occurrence of specific events. Executive and the Company wish to amend and restate the Prior Agreement in its entirety, effective as of this day of , 2007 (the “Effective Date”), pursuant to the terms and conditions set forth in this AMENDED AND RESTATED EXECUTIVE SEVERANCE BENEFITS AGREEMENT (the “Agreement”).
