This Amended and Restated Employment Agreement (the “Agreement”) made this 6th day of January 2009 shall be effective as of the 6th day of January 2009 (the “Effective Date”) between POMEROY IT SOLUTIONS, INC., a Delaware Corporation (the “Company”) and PETER J. THELEN (the “Executive”).
