THIS TERMINATION AGREEMENT (this “Termination Agreement”) is entered into as of the ___ day of May, 2004, by and among Angelo and Maxie’s, Inc., a Delaware corporation (“A&M”), as successor in interest to ISLANDS FLORIDA LP, a Delaware limited partnership (“Seller”), and SHELLS SEAFOOD RESTAURANTS, INC., a Delaware corporation (“Purchaser”).
