You (the “Participant”) are hereby awarded Restricted Stock subject to the terms and conditions set forth in this Award Agreement (the “Award Agreement” or “Award”) and in the Monolithic Power Systems, Inc. 2004 Equity Incentive Plan (“Plan”). A copy of the Plan is attached as Exhibit A and a summary of the Plan appears in the Plan Prospectus attached as Exhibit B.
