THIS EMPLOYMENT AGREEMENT (this “Agreement”) dated as of October 1, 2009 (the “Effective Date”) is entered into by and between Dune Energy, Inc., a Delaware corporation having its principal place of business at Two Shell Plaza, 777 Walker Street, Suite 2300, Houston, Texas 77002 (the “Company”), and James A.
