This Employment Agreement (“Agreement”) is made and entered into as of the 9th day of January 2012 (“Effective Date”), by and among Provident New York Bancorp, a Delaware corporation (the “Company), Provident Bank, a savings bank organized and existing under the laws of the United States of America (the “Bank”; and together with the Company, “Provident”), and Stephen V. Masterson (“Executive”).

THIS SEPARATION AGREEMENT (this “Agreement”) is made and entered into as of January 9, 2012 by and between Paul A. Maisch ( “Executive”) and Provident Bank and its parent Provident New York Bancorp (together, the “Company”). The Company and Executive are sometimes referred to collectively herein as “the Parties” and individually herein as “Party”.
