This Second Amended and Restated AGREEMENT made and entered into by and between GigOptix, Inc., a Delaware corporation (the “Company”) and Dr. Avi Katz (the “Executive” and, with the Company, the “Parties”), dated as of August 10, 2012, amends and restates in its entirety, Executive’s Amended and Restated Employment Agreement with the Company dated as of March 27, 2012.
