THIS AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of October 12, 2012 by and among GRAY TELEVISION, INC., a Georgia corporation (“Gray”), as borrower, the lenders who are party to this Agreement and the lenders who may become party to this Agreement pursuant to the terms hereof, as Lenders, and WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent (as defined below).
