THIS INVESTORS’ RIGHTS AGREEMENT (this “Agreement”), is made as of the 19th day of June, 2017, by and among LogicBio Therapeutics Inc., a Delaware corporation (the “Company”), each of the holders of Preferred Stock of the Company listed on Schedule A hereto, each of which is referred to in this Agreement as an “Investor”, and each of the holders of Common Stock of the Company listed on Schedule B hereto, each of whom is referred to herein as a “Common Holder” and any additional parties that become a party to this Agreement in accordance with Section 6.9 or Section 6.9 hereof.
