Reference is made to the Sales Agreement, dated March 15, 2022 (the “Agreement”), by and between Unity Biotechnology, Inc., a Delaware corporation (the “Company”), and Cowen and Company, LLC (the “Agent”). The Company and the Agent (collectively, the “Parties”) wish to amend the Agreement, pursuant to Section 15 of the Agreement, to reduce the aggregate offering price under the Agreement (this “Amendment”).
