THIS COMMON STOCK PURCHASE AGREEMENT (“Agreement”) is made and entered into as of July 6, 2009 (the “Effective Date”), by and between GERON CORPORATION, a Delaware corporation having its principal place of business at 230 Constitution Drive, Menlo Park, California 94025 (“Geron”), and Lonza Walkersville, Inc., a Delaware corporation having its principal place of business at 8830 Biggs Ford Road, Walkersville, Maryland 21793 (“Lonza”). Capitalized terms not otherwise defined herein shall have the meaning set forth in the MSA and Project Order No. 1.
