This Subordinated Note (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, this “Note”) is entered into effective as of December 16, 2024 (the “Closing Date”) by and among Prairie Operating Co., a Delaware corporation (the “Borrower”) and each Person named as a “Noteholder” signatory hereto (together with their successors and permitted assigns in such capacity, individually and collectively, the “Noteholders”).

(in its individual capacity, “Citi”), as administrative agent for the Lenders (in such capacity, together with its successors in such capacity, the “Administrative Agent”).
