This AMENDED AND RESTATED SUB-INVESTMENT ADVISORY AGREEMENT dated July 1, 2019 (this “Agreement”), among BlackRock Resources & Commodities Strategy Trust, a Delaware statutory trust (the “Trust”), BlackRock Cayman Resources & Commodities Strategy Fund, Ltd., a wholly-owned subsidiary of the Trust formed in the Cayman Islands (the “Subsidiary”), BlackRock Advisors, LLC, a Delaware limited liability company (the “Advisor”), and BlackRock International Limited, a corporation organized under the laws of Scotland (the “Sub-Advisor”). The Trust and the Subsidiary are sometimes referred to herein collectively as the “Funds” or individually as a “Fund.”
