WHEREAS, under the terms of the Agreement to Establish the Wilmington Learning Collaborative (the “Agreement”), dated November 1, 2022, at Section 3.2, and consistent with Article XI of the Certificate of Incorporation of Wilmington Learning Collaborative, Inc., (the “Charter”) an individual nominated by the Mayor and approved by the Council of the City of Wilmington shall be appointed to serve on the Wilmington Learning Collaborative Council (the “WLC Council”); and
