This Conversion Agreement and General Release (this “Agreement”) is made and entered into this 30th day of April, 2013 (the “Effective Date”), by and among Digital Creative Development Corporation, a Delaware corporation (“DCDC Delaware”), Digital Creative Development Corporation, a Utah corporation (“DCDC” or the “Company”) located at 720 Fifth Avenue, 10th Floor, New York, NY 10019, and the Multi-Mag Corporation (“Noteholder”), located at 1211 Avenue of the Americas, 33rd Floor, New York, NY 10019. DCDC Delaware, DCDC and the Noteholder are hereinafter sometimes referred to individually as a “Party” and collectively as the “Parties.”
