This Co-Development and OEM Agreement (the “Agreement”) is dated and effective July , 2002 (the “Effective Date”), by and between CardioDynamics International Corporation, a California corporation with its principal offices located at 6175 Nancy Ridge Drive, Suite 300, San Diego, California (“CDIC”) and Philips Medical Systems, a division of PENAC, a Delaware corporation with its principal offices located at 3000 Minuteman Road, Andover, Massachusetts (“Philips”) for the purchase and/or license by CDIC and Philips of products under the terms and conditions contained in this Agreement.
